These Terms and Conditions of Use ("Agreement") is a legal agreement between you and Consultant, the owner and developer of https://www.smallbizspringboard.com/ and Small Business Springboard Consulting Group Seminars (collectively “Small Business Springboard”). By viewing, using, registering, and/or attending any Small Business Springboard, you agree to be bound by all of the terms (the "Terms") set forth in this Agreement. IF YOU DO NOT AGREE TO THE TERMS, PLEASE DO NOT VIEW, USE, REGISTER AND/OR ATTEND ANY SMALL BUSINESS SPRINGBOARD. 

 

CONSULTANT RESERVES THE RIGHT, WITH OR WITHOUT NOTICE, TO MAKE CHANGES TO THE TERMS AT CONSULTANT’S DISCRETION. YOUR CONTINUED VIEWING, USE, AND/OR ATTENDANCE OF ANY PART OF THIS WEBSITE OR ANY SMALL BUSINESS SPRINGBOARD CONSTITUTES YOUR ACCEPTANCE OF SUCH CHANGES TO THIS AGREEMENT.

Limitations of Liability and Indemnification.

By using any services provided by Small Business Springboard, you agree that in no event shall Small Business Springboard, registered website owner (“Web Site Owner”), its or their officers, employees, agents, consultants, affiliates, licensees and web hosting services be liable for any direct or indirect, incidental, special or consequential damages as a result of your accessing the website and using any of the services available. Your sole remedy for any breach or default of this Agreement by Small Business Springboard or Website Owner shall be a return of any fees paid to Small Business Springboard, and not an individual Consultant for services outside of Small Business Springboard, or Website Owner, for any services provided under this Agreement. You agree to indemnify and agree to defend and hold harmless Small Business Springboard, Website Owner, its and their officers, employees, agents, consultants, affiliates, licensees and web hosting services and third parties for any losses, costs, liabilities and expenses (including but not limited to court costs, legal fees, awards or settlements) relating to or arising out of your use of Small Business Springboard, including any breach by you of the Terms contained in this Agreement.

 

With regard to any information presented at a Small Business Springboard Consulting Group Seminar or by another participating Consultant, Consultant does not make any warranty, express or implied, including the warranties of merchantability and fitness for a particular purpose, and specifically disclaims any legal liability or responsibility for the accuracy, completeness, or usefulness of any information, apparatus, product, service or process presented and makes no representation that its use would not infringe upon privately owned or intellectual property rights such as Copyright, Trademark, Trade Dress, or other third-party rights.

 

Responsibility for Use of Website.

You understand and agree that you are solely responsible for your actions and decisions to meet other people who you meet online by virtue of the services provided on Small Business Springboard. You understand that Small Business Springboard and Website Owner do not perform psychological testing or background checks on the individuals who may use the Small Business Springboard services. 

 

Do Not Rely on Small Business Springboard.

Jill J. Jacobs, Jill Jacobs and Company, Inc., Roshaun Davis, Unseen Heroes for Creative Community Development, Inc., Ricardo Aguilera, Richard Hefner, Hefner Insurance Services, Inc., Kristina M. Reed, Law Office of Kristina M. Reed PC, and Susan Webb (each individually “Consultant”) are each acting individually in participating, from time to time, in joint marketing efforts, including the provision of seminars which sometimes are referred to as Small Business Springboard Consulting Group Seminars.  

 

Opinions, advice, statements or other comments should not be relied upon and are not to be construed as professional advice from Consultants, Small Business Springboard or Website Owner. Consultants, Small Business Springboard and Website Owner do not guarantee the accuracy or completeness of any of the information provided, and are not responsible for any loss resulting from your reliance on such information.

It is agreed that all personally identifiable information that is or may be provided to Small Business Springboard or Website Owner, is done so voluntarily by you and is governed by our Privacy Policy. Please refer to the Privacy Policy for further information.

 

Ownership, Copyrights, Trademarks, Licenses.

Small Business Springboard and Website Owner own and retain all proprietary rights to the Small Business Springboard service, its logos, tradenames, trademarks and copyrights. Except for any information that is in the public domain, you are not authorized to reproduce, transmit or distribute the proprietary information of Small Business Springboard and Website Owner. By posting information to Small Business Springboard and Website Owner you represent that you have the right to grant permission for use by Small Business Springboard and Website Owner.

 

Disclaimer of Partnership or Joint Venture

Consultant is not acting as agent, employee, or legal representative of any other Consultant(s) for any purpose.  Consultant’s participation, from time to time, in joint marketing with any other Consultant(s) is not a partnership or a joint venture. No Consultant has the right or authority to create any obligation, warranty, representation, or responsibility, express or implied, on behalf of any other Consultant or to bind any other Consultant in any manner whatsoever. Each Consultant is solely responsible for establishing the prices for his/her/its own products and services. A Consultant shall be liable for services or products provided by another Consultant. 

 

Jurisdiction.

This Agreement or any dispute arising from this Agreement is governed by the laws of California, without regard to provisions of conflicts of law. Any lawsuit arising from or related to this Agreement shall be brought exclusively before the United States District Court for the Eastern District of California, and you hereby consent to the jurisdiction of any such court.

 

Severability.

If any part of this Agreement is found by a court of competent jurisdiction to be unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. In addition, in such event the unenforceable or invalid provision shall be deemed to be modified to the extent necessary to (i) render it valid and enforceable and (ii) give the fullest effect possible to the original intent of the provision.

 

Certification.

YOU MUST BE AT LEAST 18 YEARS OF AGE TO REGISTER, ACCESS AND USE ANY SERVICE PRVIDED BY THIS WEBSITE. IF YOU ARE UNDER THE AGE OF 18, DO NOT USE THIS WEBSITE FOR ANY PURPOSE.

 

Entire Agreement.

This Agreement constitutes the entire agreement among the parties relating to the subject matter hereof, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written between you and Small Business Springboard and Website Owner with respect to the Small Business Springboard and any service it provides. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies, guidelines, or rules that may apply when you use Small Business Springboard or any of its services. Website Owner may revise these Terms and Conditions of Use at any time, and such changes will be effective from and after the date that the same are delivered to you by e-mail or regular mail. Your continued use of Small Business Springboard after any changes have been made to this Agreement signifies and confirms your acceptance of any changes or amendments to this Agreement.

 

Waiver. 

The failure of Website or Website Owner to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by Website or Website Owner must be in writing and signed by an authorized representative of the Website Owner.

 

You further understand and agree that clicking or pressing on the “I Agree” is the electronic equivalent of a written signature on this document.
